Records Inspection by Members Policy

A member of a nonprofit corporation has the right to examine, in person or by agent or attorney, during the usual hours for business for any proper purpose, the membership register, books and records of account, and minutes of, and consents of in lieu of meetings by, the incorporators, members, directors and any other body, and to make copies or extracts therefrom.

The right to examine is not without limits.  The member’s demand for inspection must:
 1.   Be made in good faith;
 2.  Be in writing;
 3.  Describe the good faith proper purpose of the demand;
4.  Describe the records that the member desires to inspect and how the records relate to the good faith purpose of the member;
5.  Be authenticated (signed with a signature) by the member;

 6.  Be delivered to the corporation at its registered office or principal place of business and in care of the President or the corporate Secretary.

The corporation may impose reasonable restrictions and conditions on access to and use of information to be furnished, including designating information confidential and imposing nondisclosure and safeguarding obligations on the recipient.

1.  The usual hours for CDSA business shall be 7:00 pm to 7:30 pm the first and third Tuesdays of every month.  Any changes to these dates and/or times will be posted on the CDSA website;
2.  The principal place of business shall be Coraopolis District Sportsmen’s Association Social Hall, 106 Coketown Road, Coraopolis, PA 15108;
3.  Restrictions on use of information to be furnished  at General Meetings or by request shall include not providing any covered information in any digital format – the information shall be provided in printed hard copy  format only;
4.  All information obtained either through attending a Membership Meeting or request shall not be shared or disclosed by such  member to any  non-member by or through any print or digital formats;
5.  To the extent copies are requested, CDSA reserves the right to require the requesting member to advance reasonable copy charges prior to producing requested copies;
6.  CDSA reserves the right to impose such other reasonable restrictions and conditions on access to and use of information as may be determined on a case-by-case basis;
7.  A reply to a proper demand shall be made by CDSA within 5 business days from actual receipt of the member’s request by the CDSA President.
